Toziuha Night Modding Rules - License
These terms set forth the basis upon which Danny Garay, developer of the game “Toziuha Night: Order of the Alchemists”, will allow players to create mods for the game. Such mods may be downloaded by other players for use in the Game.
By creating a mod for the game:
1. You agree to comply with these license terms.
2. You acknowledge that the User Generated Content section of the Steam Subscriber Agreement also applies to mods you publish on Steam Workshop, except that this License will override that User Generated Content section where there may be differences.
In this License, we will use the term “Modders” for anyone who creates a mod for the game.
You acknowledge that all intellectual property rights in the Game and its content (excluding mods) are owned or licensed to Danny Garay and that all intellectual property rights in the Game and its content (including mods created by other Modders) are licensed to you only and are therefore not transferred or sold to you. Therefore, mods must not be a copy of any content in the Game and the ability to create mods does not permit distribution of Toziuha Night: Order of the Alchemists in binary or decompiled form.
The mods you create are your creation, but please note that we are under no obligation to assist you in their creation or to make the game compatible with your mod. All mods you create belong to you, but only to the extent that they contain your original creative work. We do not claim any ownership rights to the mods you create. Other than making your mod available in-game or except with your permission, Danny Garay will not exploit your mod in any way.
When you upload a mod to the Workshop, you give us permission to include it in the Game. However, we do not take ownership of your mod, we only give you a license to include it in the Game for as long as the Game or mod support is available (both of which are up to Danny Garay). We make no guarantees as to how long the Game will be available.
Inclusion of any mod in the Game will not entitle you to any payment from the Game developer.
Rules for making modifications in Toziuha Night: Order of the Alchemists
We have established the following rules (“Rules”) for modding so that it remains a fair and fun feature within the Game:
- Any mod must be original and must be your creation and, except where paragraph 3 below applies, must not contain third party content or bear any resemblance to any recognizable third party brand or character (including, without limitation, any trademark or logo) or personality. You must not copy someone else's property when making a mod nor must you copy someone else's mod and take credit for it. If you are going to make a submod, you must contact the original modder to notify them in advance. We reserve the right to contact the owners of the brand or character to verify that they have created and uploaded the mod or have given permission for content to be included within a mod and if we discover that they have not created the mod in question or have not otherwise given permission, we will remove it.
- You may not monetize mods for use in the Game, for example, by receiving payment for creating or downloading mods or by using a mod to advertise some other product or service. Therefore, the reference in the Steam Subscription Agreement in clause 6(B) to the ability to purchase mods as a “Workshop Contribution” (as defined in the Steam Subscription Agreement) does not apply here, as mods created for the Game cannot be made available in exchange for money.
However, as the creator of a mod, we will not prevent you:
- From monetizing the original parts of your mod outside of the Game, e.g. an original music track created and published in a mod could be placed for sale on a music platform; or.
- For example, take an original monster or character you created for a mod and include just that monster, character or other art assets you created in a commercial video game you can develop or place it on a t-shirt and sell it (for example). However, the mod itself should not be monetized. Remember that the content of mods created by modders will be their property and, therefore, if you are not the creator of a particular mod or of resources within a mod, you should not use a mod or other resources as your own. We are not responsible or liable for your use of a mod or its content outside of the Game.
- If you are a game developer, you may include a character from a game you have developed within a mod in the Game (but at no cost to players), but please note that this is strictly limited to other game developers creating such a mod and the modder must have the developer's permission to do so. We reserve the right to contact character owners to verify that they have allowed the content and, if we discover that they have not allowed it, we will remove it.
- We only allow the creation and uploading of mods. You may not distribute our game in any way, whether in binary format, decompiled or otherwise.
- You must not introduce mods that harm us as developers, the Game or other people in any way and, therefore, you must not create any mods that may be: personal or private to you or anyone else; harmful or capable of causing harm; based on another person's intellectual property; offensive, derogatory, sexist, racist, defamatory or that are otherwise objectionable or detrimental to our goodwill.
- You must not include any content within your mod that has been created by generative artificial intelligence.
- You must not introduce any viruses or malware (of any kind), damage tools or denial of service tools into any mods you may create, nor must the mod have the effect of damaging or interfering in any way with the operation of the Game.
You must not make any public disclosure of any security problem you may encounter until 3 months after informing Danny Garay of the problem by email to dannygaray60@gmail.com.
You must ensure that your mods and modding itself follow not only the Rules as stated but also the spirit of the Rules
We are not responsible for moderating or monitoring any created mods, but reserve the right to do so. We do not endorse any created mod. If we choose to moderate or monitor, we may intervene with respect to any mod to ensure that it complies with this License and the Rules. If we believe there is a violation of this License or the Rules, we reserve the right (either by ourselves or with the assistance of Valve moderators), without limitation, to make any mod invisible and then contact the Modder to request that modifications be made and re-uploaded once corrected (mod invisibility is only lifted when we are satisfied with the changes) or remove a mod if we believe it is appropriate or if the Modder fails to modify a mod to our satisfaction after being requested to do so. We may take any of these actions with or without notice and will not be liable to make any compensation payments to you if we suspend or remove a mod you have created.
You, as the creator of a mod, agree to indemnify, defend and hold us (including our officers, directors, employees and agents) harmless from any damages, losses, costs and expenses (including legal costs and expenses) arising directly or indirectly from the creation of a mod by you, including, without limitation, any allegation that the mod infringes the copyright, trademark, privacy or other intellectual property or other rights of any third party, or any other breach by you of this License and its terms.
The provisions and parts of the provisions of this License apply separately. If a court or competent authority decides that any of them or any part of them is illegal, the remaining provisions shall remain in full force and effect.
This License shall be construed in accordance with the laws of Nicaragua, and you consent to the exclusive jurisdiction of the Nicaraguan courts.
We may modify the terms of this License from time to time. Please review these terms periodically to ensure that you understand the terms that apply from time to time.
